The CFRD experts, after having met on 14 February, 2007 and decided to establish the INTERNATIONAL CFRD SOCIETY, an association for the study of all aspects of CFRD (concrete face rockfill dam), for the purposes of promoting science and research into all aspects of CFRD and of communication between specialists interested in this field, do hereby adopt the following Statutes, for the purposes of establishing a non-profit and non-government organization.
Article 1 – Name
The name of the association shall be the “INTERNATIONAL CFRD SOCIETY”, hereinafter referred to as “CFRD”.
Article 2 – Objectives
The objectives of the Society shall be:
A. To promote the study, research and knowledge of all aspects of CFRD;
B. To organise, prepare, hold and participate in international meetings and congresses on subjects related to this objective;
C. To advance in the interchange of research plans and experiences between individual and organization members of the Society;
D. To offer a platform from where points of view can be disseminated. To achieve this, apart from organising congresses, symposia, workshops, a journal will be published.
Article 3 - Powers
The Society shall be entitled:
A. To hold scientific meetings of all kinds in any country;
B. To participate and cooperate with other bodies, associations or groups having objectives similar to those of the Society.
Article 4 – Membership
A. Members of the Society may be specialists involved in CFRD research, design, construction, supervision, management and operational management and investors, and who have an interest in these or other aspects of this particular field. Students from civil engineering universities maybe associated members.
B. Members shall be accepted irrespective of sex, race, language, religion or political persuasion. The sole criterion for membership shall be the academic level or the comparable level of scientific achievement of the applicant.
C. Any member such as individuary or group member shall fulfill his(her) or its duties and obligations and pay his(her) or its membership fee on schedule.
The members who fail to pay such fees continuously for 2 years may be deemed as seceding the Society of themselves and their names will be removed from rolls in proper way.
Article 5 – Group member
A. Group member shall apply for its membership by writing.
B. The group member shall be a legal group member after being approved by presidents and secretary general by writing.
C. Group members shall be awarded Group Membership Card issued by Secretariat.
D. Group members shall pay for its membership fee every year on time.
Article 6 – Applications for membership
Requests for membership(individual or group member) shall be made in writing on the application form of the Society and submitted to the Secretariat, stating the applicant's wish to join the Society.
The applicant will have to submit a short technical Curriculum Vitae and obtain the signature of two proposers who are already members of the Society.
Application for membership shall imply approval of the statutes of the Society.
The standing committee shall approve applications, by a majority vote.
Notification of the decision shall be sent to the applicant.
Article 7 – Termination of Membership
Membership shall be terminated:
A. By notice of resignation,
B. By failure to accomplish with the line of duty of the Membership for two consecutive years,
C. By the death of the member,
D. By striking-off, voted by the standing committee by a two-thirds majority.
The member concerned shall have the right of appeal against the decision before the General Assembly.
Article 8 – Organs of the Society
The organs of the Society shall be:
A. The General Assembly
B. Standing committee
C. The Secretariat
Article 9 – General Assembly
The General Assembly shall be the supreme authority of the Society. It shall include all members.
If during an initial vote a quorum of 40 % of the members is not reached, the Assembly shall hold a second poll on the same subject, and the decision shall then be taken by a simple majority of the voters, whatever the number of members present.
Article 10 – Functions of the General Assembly
The General Assembly shall fulfil the following functions:
A. Election of the members of the International Council of Delegates from a list of candidates drawn up by the Secretariat , if this exists; if this does not exist the General Assembly shall make its own choice,
B. Approval of the reports, the accounting and the budget,
C. Approval of proposed date and venue of conferences ,
D. Formal ratification of the appointments of the Delegates to the International Council of Delegates,
E. Amendment of the Statutes when proposed by the International Council of Delegates with the support of the International Council of Delegates.
Article 11 – Meetings of the General Assembly
A. A General Assembly shall be convened at least once every two years, at the same time and place as the International Congress.
B. Any fifteen members shall be entitled to request the Secretariat to convene an Extraordinary General Assembly, provided the request is made in writing and states that the object of the Assembly is urgent.
Such requests shall be laid before a meeting of the International Council of Delegates specially called for that purpose and shall be acted upon if approved by a two-thirds majority of all the members of the International Council of Delegates.
Article 12 – Proceedings of the General Assembly
A. The General Assembly shall be composed of the members. All members shall be entitled to vote at the General Assembly and to be elected as a member of the International Council of Delegates.
B. The General Assembly shall be presided over by the president of the CIS.
D. The members shall have one vote each and decisions shall be taken by a majority vote.
Voting shall be secret only if so requested by a majority of the members.
In the event of a tie, a second poll shall be held. If the votes in the second poll are once more split equally, the President shall have the deciding vote or may strike the motion from the agenda.
D. Decisions on any amendment of the Statutes that may be proposed by the Member with the support of the International Council of Delegates shall require approval by a two-thirds majority of the voters present.
Article 13 – Members' proposals
Any member may request the inclusion of an item on the agenda of the General Assembly. Such requests shall be made in writing and must reach the address of the Secretariat at least six weeks before the date of the General Assembly.
If approved by the International Council of Delegates, the request shall be submitted to the General Assembly.
Article 14 – Delegates
A. Candidates for the International Council of Delegates must be members of the Society.
B. Candidates shall have to obtain formal ratification of their appointment to the International Council of Delegates by the General Assembly.
C. Members of the International Council of Delegates, hereinafter referred to as “the Council”, shall be appointed for three years. They shall be re-eligible.
Article 15 – Local functions of the Delegates
In addition to their functions as members of the Council, the Delegates shall have the following local functions:
A. To comment the International Council of Delegates, especially in regard to status and eligibility,
B. To recruit members of the Society,
C. To organise national and regional meetings with the assistance of the Secretariat of the Society,
D. To assist in publicizing the International Congresses and advise congress organisers in regard to subjects and speakers from the various countries,
E. To assist in sending copies of Society publications to local members,
F. To arrange for the technical consulting and service events of the Society, to cover the cost of local activities.
Article 16 – Proceedings of the International Council of Delegates
A. The members of the International Council of Delegates shall meet during the Congress before the General Assembly, or at other times, at their discretion. The meetings shall be chaired by the president (Chairman) or in his absence by the Vice President nominated beforehand. The Council shall take decisions by a majority of vote, each Delegate having one vote. Delegates can represent other members with a written authorization.
In the event of a tie, a second poll shall be held. If the votes are split equally in the second poll, the motion shall be struck off the agenda.
B. Council members may act by delegating their powers in writing to another member of the Council or they may communicate their decision in writing, or vote by mail.
C. The Council shall maintain a minute book in which major decisions shall be recorded, which shall be made by the Secretariat.
Article 17 – The first standing committee
Until a General Assembly of the Society is held at the time and place of the next International Congress and elects the International Council of Delegates in accordance with these Statutes.
Article 18 – Election of the International Council of Delegates
A. The members, at the General Assembly, or at an Extraordinary General Assembly, shall elect the International Council of Delegates, hereinafter referred to as “the Council”, on the basis of a list submitted by Secretariat.
The Council shall consist of at least fifteen members, elected for five years, including the president, vice presidents, Secretary General, and International Council of Delegates.
B. In the event of any Council member resigning or vacancies arising on the Council for any reason whatsoever, the remaining Council members shall be entitled to appoint a member or members to serve on the Council until the next election by the General Assembly, although failure to fill the vacancies shall not invalidate in any way the actions of the Council.
Article 19 – Tasks of the standing committee
The committee shall fulfil the following functions:
A. It shall manage the affairs of the CFRD;
B. It shall aid and advise in the preparation of the congresses and meetings;
C. It shall approve new members and strike off members;
D. It shall promote the formation of national and regional branches if any ;
E. It shall maintain direct contact with the Editor of the international journal “CFRD World ”
F. It shall submit to the General Assembly its suggestions concerning all affairs of the CFRD
G. It shall otherwise act for and on behalf of the CFRD
The standing committee shall have the right to appoint and discharge any and all kinds of employees as it deems necessary at its discretion. The Committee may delegate certain of its powers to one or more of its members or to any persons or person, even if they are not members of the Society, in matters concerning the promotion of the efficient running of the work of the Society.
Article 20 – Vice President
A. They shall co-ordinate and promote the exchange of information between members;
B.They may execute and supervise the execution of the administrative tasks for which it is responsible, correspondence and all operations relating to the Society's affairs.
C. The vice presidents and the members of standing committee shall assist the president in fulfilling his duties.
Article 21 – Secretariat
The CFRD will have a Permanent Secretariat responsible for routine maintenance (including running the CFRD website and a Journal of CFRD WORLD. The Official language is English.
Article 22 Duties of the Secretary-General
A. In charge of leading the working bodies in their daily work,
B. Organizing the implementation of the annual work plan,
C. Coordinating the work of branch organizations, representative organs and entity organs, if any,
D. Nominating deputy secretaries-general and the chief officers of the working bodies, branch organizations, representative organs and entity organs for decision by the president, vice president, standing committee, or the council. Any above-mentioned nomination shall be approved by the president
E. Deciding the employment of the staff of the working bodies, representative organs and entity organs.
F. Draw up the agenda for all meetings of CFRD, and convoke the members of the Society to the General Assemblies.
Article 23 – Signatures on behalf of the CFRD
The CFRD shall be bound by the both signatures of the President and the Secretary General, or of the vice president in absence of, or entrusted by the president signing separately for any material event, over the seal of the CFRD
Article 24 – Seal
The Society shall have a seal with its name engraved thereon.
Article 25 – Liquidation of the Society
In the event of the liquidation of the CFRD affairs and property having been decided by the General Assembly of the CFRD a special meeting called for that purpose, a liquidator or liquidators shall be appointed by the International Council of Delegates and be audited by a China's revenuer or revenuers and after payment of any debts, the property shall be distributed to non-profit associations related similar nature, at the discretion of the International Council of Delegates.
